Introduction and Acceptance of Terms

Welcome to Global Food Safety Solutions, LLC (“GFSS,” “Company,” “we,” “our,” or “us”). Throughout these Terms and Conditions, the terms “I,” “me,” and “my” refer to Lisa Bowden as the sole proprietor and operator of GFSS. These Terms and Conditions govern your use of our website and the consulting services we provide.

By accessing our website, contacting us, or engaging my consulting services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.

GFSS reserves the right to modify these Terms and Conditions at any time without prior notice. Your continued use of our services following any changes constitutes your acceptance of the revised terms.

About Global Food Safety Solutions, LLC

Global Food Safety Solutions, LLC is a food safety consulting company founded and operated solely by Lisa Bowden. I bring 38 years of experience as a food safety regulator, including 16 years as a USFDA Senior International Investigator, Food Specialist, and Subject Matter Expert.

I hold a Bachelor of Science in Medical Microbiology and a Master of Business Administration in Managerial Leadership. My consulting services are based on scientifically proven data and solutions to food safety concerns.

GFSS is registered in [State] as a Limited Liability Company. All services are personally performed by Lisa Bowden unless explicitly agreed otherwise in writing.

Services Provided

GFSS provides expert food safety and dietary supplement consulting services to domestic and international food companies. My services include but are not limited to:

• On-site audits of food facilities worldwide
• Development and implementation of food safety systems and HACCP plans
• Assistance with USFDA company and product registrations
• Finished product label reviews
• Crisis management including recalls, Warning Letters, and Red List removal
• Gap analysis of existing food safety systems
• US Agent services for international companies
• FSMA and Preventive Controls consulting
• Environmental pathogen monitoring program development

All services are consultatory in nature. I provide expert advice, guidance, and recommendations based on my professional experience and knowledge of FDA regulations. I do not make decisions on behalf of your company. You retain full responsibility for implementing my recommendations and for the safety of your products.

Client Responsibilities

As my client, you agree to the following responsibilities.

Provide Accurate Information

You must provide complete, accurate, and truthful information about your company, products, facilities, and operations. My recommendations are only as good as the information you provide. Withholding or misrepresenting information may lead to incorrect guidance and could jeopardize your compliance.

Grant Access

For on-site audits and assessments, you must grant me reasonable access to your facilities, personnel, and records. This includes allowing me to observe operations, interview staff, and review documentation relevant to the engagement.

Implement Recommendations

You understand that I provide recommendations based on my expertise. The implementation of these recommendations is your sole responsibility. I am not responsible for failures that occur due to incomplete, incorrect, or delayed implementation of my advice.

Compliance with Laws

You remain solely responsible for complying with all applicable laws, regulations, and requirements of the USFDA and any other regulatory authorities. My services are designed to assist you in achieving compliance, but they do not guarantee compliance or replace your legal obligations.

Communication

You agree to maintain open and honest communication throughout our engagement. If you have questions about my recommendations or encounter challenges in implementation, you must bring these to my attention promptly.

Fees and Payment Terms

Fee Structure

My fees are based on the scope of work agreed upon prior to engagement. Fees may be structured as hourly rates, daily rates, project-based flat fees, or retainer arrangements as specified in your service agreement or proposal.

Quotes and Estimates

Any quotes or estimates provided are valid for thirty (30) days from the date of issuance unless otherwise stated. Fees do not include travel, accommodation, meals, or other expenses incurred during on-site visits unless explicitly included in the agreement.

Travel and Expenses

For on-site services outside my local area, you agree to reimburse me for reasonable and necessary travel, accommodation, meal, and incidental expenses. Such expenses will be itemized and included in invoicing.

Payment Terms

Payment terms are as specified in your service agreement. Unless otherwise agreed, invoices are due upon receipt or within thirty (30) days of the invoice date. I accept payment by [check, bank transfer, credit card, etc.].

Late Payments

Invoices not paid within the agreed terms may be subject to a late fee of [1.5% per month or the maximum allowed by law]. I reserve the right to suspend services for any past due amounts.

Currency

All fees are quoted and payable in United States Dollars (USD) unless otherwise agreed in writing.

Cancellation and Refund Policy

Service Cancellation by Client

If you need to cancel or reschedule a scheduled service, you must provide notice as follows:

• For on-site audits or consultations: At least fourteen (14) days prior to the scheduled start date for a full refund of any deposits. Cancellations within 14 days may result in forfeiture of deposits or assessment of cancellation fees as outlined in your service agreement.

• For project-based work: Cancellation terms will be specified in your project agreement. Generally, you are responsible for payment for work completed up to the date of cancellation.

Service Cancellation by GFSS

I reserve the right to cancel or reschedule services due to illness, emergency, or circumstances beyond my control. In such cases, I will work with you to reschedule at the earliest mutually convenient time or provide a full refund of any prepaid fees.

Refunds

Refunds, if applicable, will be processed within thirty (30) days of the cancellation date. Refunds will be issued using the same payment method used for the original transaction unless otherwise agreed.

Limitation of Liability and Disclaimer of Warranties

No Guarantees

While I provide expert advice based on 38 years of experience, I cannot and do not guarantee specific outcomes. FDA compliance involves many factors beyond my control including your implementation of recommendations, actions of FDA personnel, and changes in regulations.

I do not guarantee that:

• Your products will never be subject to FDA enforcement action
• You will never receive a Warning Letter or be placed on Import Alert
• Your specific problems will be resolved within any particular timeframe
• My recommendations will result in passing an FDA inspection

Disclaimer of Warranties

My services are provided “as is” and without warranties of any kind, either express or implied. I disclaim all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, GFSS and Lisa Bowden shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to my services.

This includes but is not limited to:

• Lost profits, lost revenue, or business interruption
• Damage to reputation or brand value
• Costs of substitute services
• Recall costs, legal fees, or regulatory fines
• Customer claims or lawsuits

Cap on Liability

In no event shall my total liability to you for all claims arising from or relating to my services exceed the total fees paid by you to GFSS during the twelve (12) months preceding the event giving rise to the claim.

Basis of the Bargain

You acknowledge that the fees charged reflect the allocation of risk set forth in these Terms and Conditions and that I would not provide services without such limitations.

Indemnification

You agree to indemnify, defend, and hold harmless GFSS and Lisa Bowden from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of my services or reliance on my recommendations
• Your failure to implement recommendations correctly or in a timely manner
• Any inaccurate or incomplete information you provide
• Your products, including any claims of illness, injury, or damage caused by your products
• Your violation of any applicable laws or regulations
• Any third-party claims related to your business operations

This indemnification obligation survives termination of our agreement and these Terms and Conditions.

Intellectual Property

My Intellectual Property

All materials provided to you including reports, plans, assessments, recommendations, training materials, and other deliverables remain my intellectual property. I grant you a non-exclusive, non-transferable license to use these materials for your internal business purposes only.

You may not reproduce, distribute, or share my materials with third parties without my express written consent.

Your Intellectual Property

Any documents, records, or information you share with me for the purpose of receiving services remain your property. I will treat such materials as confidential.

Website Content

All content on the GFSS website including text, graphics, logos, and images is my property and protected by copyright and other intellectual property laws. You may not reproduce, distribute, or use any website content without my written permission.

Confidentiality

Definition of Confidential Information

Confidential Information means any non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or reasonably should be understood to be confidential.

This includes but is not limited to:

• Business records and financial information
• Manufacturing processes and formulations
• Customer lists and supplier information
• Audit results and compliance status
• Internal communications and strategic plans

Obligations of Confidentiality

I agree to maintain your Confidential Information in strict confidence and not to disclose it to any third party without your consent, except as required by law or legal process.

Exceptions

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of mine
• Was rightfully in my possession prior to disclosure
• Is rightfully obtained by me from a third party without restriction
• Is independently developed by me without use of your Confidential Information

Required Disclosures

If I am required by law, regulation, or legal process to disclose your Confidential Information, I will notify you promptly to allow you to seek a protective order or other appropriate remedy.

Return of Information

Upon your request, I will return or destroy all physical and electronic copies of your Confidential Information, except to the extent retention is required by law or professional standards.
